 Augusta Khew Poh Yen

Augusta has more than 15 years of experience in corporate and conveyancing matters. She graduated with LLB (Hons) from the University of London (External Programme) in August 1995 and was called to the Malaysian Bar in January 1998. Thereafter, she worked in the United Kingdom at various companies for several years whilst pursuing a Master of Science in Information Systems Design course at the University of Westminster. After graduating in November 2002, she returned to Malaysia and joined a regional women’s health and rights NGO as a Programme Officer (Information). Augusta subsequently joined the Firm’s Corporate and Conveyancing Department in May 2005. She retired as a Partner on 31 December 2019 to take a break from practice. She resumed practice with the Firm in May 2021.

Augusta’s main areas of practice encompasses corporate restructuring, advising corporate clients in various sectors, corporate governance, private equity, legal due diligence, mergers and acquisitions and drafting and negotiating a broad spectrum of corporate and commercial agreements.

Practice Areas

General corporate and conveyancing experience

  • Advised on the incorporation of various business entities and corporate structures including companies limited by guarantee and branch office for foreign companies.
  • Managed and organised all aspects of corporate based legal transactions from the proposal stage up until implementation and closing (including private equity and venture capital deals).
  • Performed legal due diligence analysis and research for investments, acquisitions and project financing.
  • Produced general legal documents and company secretarial documents such as wills, trusts, powers of attorney, constitutions, corporate resolutions as well as various commercial and real property agreements
  • Advised clients on various matters related to gaming, foreign direct investment, Personal Data Protection, Malaysian Code on Take-Overs and Mergers 2016, insider trading and the OECD Common Reporting Standards.
  • Drafted, reviewed, and negotiated a wide range of agreements and transactions, including but not limited to: information technology agreements, subcontracts, non-compete and non- disclosure agreements, partnership agreements, option agreements, employment agreement, service agreements, shareholders agreements, settlement agreements, distributorship agreements, joint venture agreements, franchise agreements, share sale agreements, endowment agreements, sale of property agreements, management incentive schemes, financing and security agreements, tenancy/lease agreements and easement agreements.

Transactional Deal Experience

  • Acted, as part of a legal team, in various venture capital investments into investee companies.
  • Acted as counsel to a dominant player in the domestic containerboard segment and one of the largest integrated paper and packaging manufacturers in relation to its internal corporate restructuring exercise.
  • Acted for a French company with global market leadership in B-to-B distribution of electrical products, solutions and related services, as Malaysia counsel in relation to its acquisitions of various local companies. Acted as counsel for its group’s financing transactions.
  • Acted, as part of a legal team, to advise a high net worth individual in his joint venture investments in companies in Hong Kong as well as advised him in a wealth management and succession planning exercise.
  • Acted for a technology financier wholly owned by the Malaysian government, as panel adviser in its provision of project financing to start-up companies.
  • Acted, as part of a legal team, to advise a high net worth individual in a wealth management and succession planning exercise.
  • Acted as Malaysian counsel for a Singaporean healthcare company in its joint venture with an information technology service and software company in Malaysia.
  • Acted for a Dubai-based company which develops, invests in, and manages new urban environments, as counsel, for various projects in Medini Iskandar, Ghana and Egypt.
  • Acted for a major player in the global automated waste collection industry, as counsel for its business in Malaysia for the design, supply, installation, operation and maintenance of pneumatic waste collection systems.
  • Acted for a listed BPO services provider, as counsel, for inter alia some of its M&A and joint venture transactions.
  • Acted for various international companies, as counsel in respect of their M&A and joint venture activities in Malaysia.
  • Acted, as part of a legal team, in connection with a proposed SPAC listing and the listing of a BPO services provider.
  • Acted, as counsel, for a local leading infrastructure conglomerate, in an internal corporate restructuring exercise involving the group as well as advised in substantial sale of property transactions.
  • Acted, as part of a legal team, to advise a leading strategic investment company in its internal corporate restructuring exercise and led a substantial due diligence exercise in connection thereof.
